1. Introduction and Acceptance

These Terms and Conditions ("Terms") govern your access to and use of the Salesfire platform, including our website, web application, APIs, AI voice agents, and all related services (collectively, the "Service") provided by Leman Consulting LLC, doing business as Salesfire ("Salesfire," "we," "us," or "our").

By creating an account, accessing, or using the Service, you agree to be bound by these Terms. If you are accepting on behalf of a company or other legal entity, you represent that you have the authority to bind that entity. If you do not agree to these Terms, do not use the Service.

These Terms constitute a legally binding agreement between you and Salesfire. Please read them carefully.

2. Definitions

  • "Customer" means the individual or entity that creates an account and subscribes to the Service.
  • "User" means any individual authorized by the Customer to access and use the Service under the Customer's account.
  • "Prospect Data" means contact information, lead data, and related records uploaded by the Customer or generated through the Service.
  • "AI Agent" means the artificial intelligence systems used by Salesfire to perform automated tasks including voice calls, email outreach, lead scoring, and follow-up sequences.
  • "Workspace" means the Customer's dedicated environment within the Service, including all associated data, configurations, and Users.
  • "Subscription Plan" means the pricing tier selected by the Customer (Free, Plus, Pro, or Ultra), which determines available features, usage limits, and pricing.

3. Service Description and License

Salesfire is an AI-powered sales automation platform that provides:

  • AI voice agents that place and receive calls on behalf of Customers
  • Automated email outreach, follow-up sequences, and lead nurturing
  • Lead generation, scoring, and prospect qualification
  • CRM, pipeline management, and deal tracking
  • Analytics, reporting, and advertising integrations

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes during your subscription term. You may not sublicense, resell, or distribute the Service to third parties.

4. Account Registration

To use the Service, you must create an account. You agree to:

  • Provide accurate, current, and complete registration information
  • Maintain the security of your account credentials and not share them with unauthorized parties
  • Notify us immediately of any unauthorized use of your account
  • Accept responsibility for all activities that occur under your account, including actions taken by Users you authorize

5. Subscription Plans, Billing, and Payment

The Service is offered under multiple subscription tiers with varying features and usage limits. By selecting a paid plan, you agree to the following:

  • Subscription fees are billed in advance on a monthly or annual basis, depending on the billing cycle you select.
  • All fees are quoted in U.S. dollars and are non-refundable except as expressly stated in these Terms (see Section 6).
  • We may change pricing with at least 30 days' written notice. Price changes take effect at the start of your next billing cycle.
  • If payment fails, we will attempt to charge your payment method again. If payment remains unsuccessful after 7 days, we may suspend or downgrade your account.
  • You are responsible for all applicable taxes. Salesfire will collect and remit taxes where required by law.

Payments are processed by Stripe, our PCI-DSS compliant payment processor. Salesfire does not store your raw credit card information.

6. 60-Day Money-Back Guarantee

We offer a 60-day money-back guarantee on all new paid subscriptions. If you are not satisfied with the Service within the first 60 days of your initial paid subscription, you may request a full refund subject to the following conditions:

  • The refund request must be submitted within 60 calendar days of your first paid subscription charge.
  • Refund requests must be sent to support@salesfire.ai with your account email and reason for cancellation.
  • This guarantee applies only to first-time paid subscribers and may not be used more than once per Customer.
  • Refunds are processed within 10 business days to the original payment method.

After the 60-day guarantee period, subscription fees are non-refundable. You may cancel your subscription at any time, but no prorated refunds will be issued for the remaining portion of a billing period.

7. Customer Compliance Obligations

When using the Service, you are responsible for ensuring your activities comply with all applicable laws and regulations. In particular:

TCPA and Telemarketing Compliance

  • You must obtain prior express written consent before directing AI voice calls to mobile phone numbers, as required by the Telephone Consumer Protection Act (TCPA).
  • You must maintain and regularly scrub your contact lists against the National Do Not Call Registry and any applicable state Do Not Call lists.
  • You must honor all opt-out and do-not-call requests promptly. Salesfire's AI agents will capture opt-out requests during calls, and you must ensure these are processed within 10 business days.
  • You acknowledge that Salesfire acts as a calling platform on your behalf. You, as the Customer, are designated as the "caller" under TCPA regulations and bear primary responsibility for TCPA compliance.

CAN-SPAM and Email Compliance

  • All emails sent through the Service must include accurate sender information, a valid physical postal address, and a clear unsubscribe mechanism.
  • You must honor unsubscribe requests within 10 business days.
  • You must not use the Service to send unsolicited commercial email in violation of the CAN-SPAM Act or applicable anti-spam laws.

SMS and Text Message Compliance

  • You must obtain prior express written consent from recipients before sending any SMS or text messages through the Service, in compliance with the Telephone Consumer Protection Act (TCPA) and Cellular Telecommunications Industry Association (CTIA) guidelines.
  • Consent must be clearly documented and must include: (a) the specific phone number authorized to receive messages, (b) the name of the business sending messages, (c) the types of messages the recipient will receive, and (d) the message frequency.
  • All SMS communications must include opt-out instructions. Recipients must be able to reply STOP at any time to unsubscribe, and opt-out requests must be honored immediately.
  • You must include the following disclosures at the point of opt-in: message frequency, "Message and data rates may apply," and a link to both your Privacy Policy and Terms of Service.
  • You must maintain records of consent for each recipient, including the date, time, method of consent, and the specific language to which the recipient agreed.
  • You must not send SMS messages to numbers on the National Do Not Call Registry or to recipients who have previously opted out.

Failure to comply with these obligations may result in immediate suspension or termination of your account. You agree to indemnify Salesfire against any claims, fines, or damages arising from your non-compliance (see Section 15).

8. Acceptable Use Policy

You agree not to use the Service for any of the following purposes:

  • Any unlawful, fraudulent, deceptive, or harmful activity
  • Transmitting spam, malware, or any content that violates applicable laws
  • Harassing, threatening, or abusing any individual or group
  • Attempting to reverse engineer, decompile, or disassemble any part of the Service
  • Circumventing or disabling any security features, rate limits, or usage restrictions of the Service
  • Using the Service to build a competing product or service, or for benchmarking purposes without prior written consent

We reserve the right to suspend or terminate accounts that violate this Acceptable Use Policy, with or without notice depending on the severity of the violation.

9. Intellectual Property

Salesfire and its licensors retain all right, title, and interest in and to the Service, including all software, technology, algorithms, AI models, user interfaces, designs, trademarks, and documentation. Nothing in these Terms transfers any ownership rights to you.

You retain all rights to the data you upload to the Service ("Customer Data"). You grant Salesfire a limited, non-exclusive license to use, process, and store your Customer Data solely to provide and improve the Service.

Aggregated, anonymized data derived from usage of the Service may be used by Salesfire for analytics, benchmarking, and product improvement. This data will never identify you or your contacts.

10. Data Handling and Privacy

Our collection, use, and protection of personal data is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the data practices described in our Privacy Policy.

For Customer Data that includes personal data of third parties (e.g., prospect contact information), you represent that you have a lawful basis to collect and process such data, and that you have provided any required notices and obtained any necessary consents.

Upon termination of your account, your Customer Data will be deleted within 90 days, except where longer retention is required by law or as specified in our Privacy Policy.

11. Third-Party Services and Integrations

The Service may integrate with or provide access to third-party services, including:

  • Advertising platforms (e.g., Meta Ads)
  • Payment processors (e.g., Stripe)
  • Communication providers (e.g., telephony, email delivery)
  • CRM and productivity tools connected via API or integration

Your use of third-party services is subject to those services' own terms and privacy policies. Salesfire is not responsible for the availability, accuracy, or practices of any third-party services.

12. AI Services and Disclaimers

The Service uses artificial intelligence to perform various tasks. You acknowledge and agree that:

  • AI-generated outputs (including lead scores, conversation responses, email drafts, and voice call interactions) are probabilistic and may contain errors or inaccuracies.
  • AI voice calls made on your behalf will disclose to recipients that they are speaking with an AI-generated voice, as required by applicable law.
  • You are responsible for reviewing and approving AI-generated content before it is sent or published where required by your industry or applicable regulations.
  • AI performance depends on data quality. Salesfire does not guarantee specific outcomes such as lead conversion rates, revenue increases, or response rates.

Salesfire continuously improves its AI systems but makes no warranty that AI outputs will be error-free, complete, or suitable for any particular purpose.

13. Warranties and Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. SALESFIRE DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

No advice or information, whether oral or written, obtained from Salesfire or through the Service shall create any warranty not expressly stated in these Terms.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SALESFIRE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, REGARDLESS OF THE THEORY OF LIABILITY.

SALESFIRE'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS PAID BY YOU TO SALESFIRE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability shall be limited to the fullest extent permitted by applicable law.

15. Indemnification

You agree to indemnify, defend, and hold harmless Salesfire, its officers, directors, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from:

  • Your use of the Service or violation of these Terms
  • Your violation of any applicable law or regulation, including TCPA, CAN-SPAM, CCPA, or GDPR
  • Any claim by a third party related to calls, emails, or other communications sent through the Service on your behalf
  • Your Customer Data or your collection, processing, or use of prospect and contact data

16. Term and Termination

These Terms are effective from the date you first access or use the Service and continue until terminated. Your subscription will automatically renew at the end of each billing period unless you cancel before the renewal date.

You may cancel your subscription at any time through your account settings or by contacting support@salesfire.ai. Cancellation takes effect at the end of the current billing period.

We may suspend or terminate your account immediately if you breach these Terms, violate the Acceptable Use Policy, fail to pay fees when due, or if required by law. We will provide reasonable notice when possible.

Upon termination, your right to use the Service ceases immediately. Sections that by their nature should survive termination will remain in effect, including Sections 9, 13, 14, 15, 17, and 18.

17. Confidentiality

Each party may have access to confidential information of the other party during the course of this agreement. Both parties agree to protect confidential information with the same degree of care used for their own confidential information, and not to disclose it to third parties without prior written consent.

Confidential information does not include information that is publicly available, independently developed, rightfully received from a third party, or required to be disclosed by law.

18. Dispute Resolution and Arbitration

These Terms are governed by and construed in accordance with the laws of the State of Wyoming, without regard to conflict of law principles.

Any dispute arising out of or relating to these Terms or the Service shall first be resolved through good-faith negotiation between the parties for a period of 30 days. If the dispute cannot be resolved through negotiation, it shall be settled by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules.

Arbitration shall take place in Casper, Wyoming, or remotely at the mutual agreement of both parties. The arbitrator's decision shall be final and binding, and judgment may be entered in any court of competent jurisdiction.

YOU AND SALESFIRE AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate claims or preside over any form of class proceeding.

19. Modifications to These Terms

We may update these Terms from time to time. Material changes will be communicated via email or in-app notification at least 30 days before they take effect. The updated Terms will be posted on our website with a revised "Last updated" date.

Your continued use of the Service after the effective date of any changes constitutes your acceptance of the revised Terms. If you do not agree to the changes, you must stop using the Service and cancel your subscription before the effective date.

20. General Provisions

  • Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
  • Waiver: The failure of Salesfire to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.
  • Assignment: You may not assign or transfer these Terms without our prior written consent. Salesfire may assign these Terms in connection with a merger, acquisition, or sale of assets.
  • Entire Agreement: These Terms, together with our Privacy Policy and any applicable order forms, constitute the entire agreement between you and Salesfire regarding the Service.
  • Force Majeure: Salesfire shall not be liable for delays or failures in performance resulting from causes beyond its reasonable control, including natural disasters, acts of government, internet outages, or third-party service failures.
